applying for H1B without a job

Hi, I am a master student and currently in OPT extension. My contract at xxx company ended last month and i'm finding it difficult to get a new opportunity before april 2015. My employer(yyy) is not willing to apply H1B from his company(worked for almost 2 years) without a job, rather he suggested me to apply from a different employer(zzz) on my own expenses. He said the employer zzz has an in-house project(really not) and there won't be any problem if i file h1 with him. What should i keep in mind before applying h1b with zzz to avoid future problems(if any). Is there any one who got their H1 picked and processed successfully without a job?

1) Same as you did when you were intending to apply job with YYY... First things if you are not getting is find some other way to be in status as in house projects have very less chances of approval and might end up in 2 many RFE's... good luck
