Startup Opportunity

Hi,
I am a second year graduate student in computer Science.
I am on part time CPT since I have a internship going on. It will extend till I graduate in May 2015.
I got an opportunity to work for a startup. Can I work for them?
I will not be on their payroll. But they said they will give me some stock of the company.
Is it legal to do that?
